These Terms govern your use of the HAVA.AI platform, operated by HAVA REALTY ("HAVA.AI", "we", "us"), registered in Kenya. By creating an account, listing a property, or otherwise using HAVA.AI, you agree to these Terms.

1. Who you are contracting with

You are entering into this agreement with HAVA REALTY. If you act on behalf of an organization, you confirm you have authority to bind it. If you act as an individual, you confirm you are of legal age in your jurisdiction.

2. The service

HAVA.AI is an AI-powered platform connecting renters, buyers and service-providers with verified property listings and brands across Kenya. Features available to you depend on your subscription plan.

3. Acceptable use

You must not:

• Use the service for any unlawful purpose, fraud, or to send spam;
• Post listings or content that infringe intellectual property, are misleading, or violate fair-housing laws;
• Interfere with security or attempt to probe, scan, scrape or reverse-engineer the platform;
• Upload malware or attempt to gain unauthorized access to other accounts or systems.

4. Accounts

You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account.

5. Intellectual property

HAVA REALTY retains all rights in the platform, its software, branding and documentation. We grant you a limited, non-exclusive, non-transferable right to use the platform within your selected plan. You may not resell, redistribute or circumvent technical limits.

You retain ownership of content you upload (photos, descriptions, etc.) and grant us a limited license to host, display and process it solely to provide the service.

6. Payments, subscriptions, taxes and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, applicable taxes, cancellation and refund mechanics are governed by Paddle's Buyer Terms in addition to our Refund Policy.

Subscriptions renew automatically at the end of each billing period unless cancelled. You can cancel at any time from your account; access continues until the end of the paid period.

7. Service availability

We aim for reliable service but do not guarantee uninterrupted or error-free performance. We may modify or discontinue features with reasonable notice.

8. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated policy violations. On termination, your right to use the platform ends; we may retain content as required by law and will delete or anonymise personal data per our Privacy Notice.

9. AI assistant — acceptable use, accuracy and content rights

HAVA.AI includes an AI assistant ("HAVA AI") that generates text, suggestions and other outputs. By using it you agree to the following:

Prohibited use. You must not use HAVA AI to generate or distribute: unlawful content; content that infringes intellectual-property or privacy rights; deepfakes or impersonation of real people; hate speech, harassment, sexual content involving minors, or content that incites violence; malware, exploits or content designed to compromise security; spam or coordinated misinformation; content that violates fair-housing or anti-discrimination laws; or attempts to jailbreak, evade safety filters, or extract system prompts.

Your responsibility for prompts and outputs. You are responsible for the prompts you submit, for how you use any output, for verifying accuracy before relying on it, and for ensuring you have the rights to any content you upload as input (photos, text, documents).

Intellectual property and takedowns. As between you and us, you retain rights in your inputs and, to the extent permitted by law, in outputs generated for you, subject to the rights of underlying model providers and third parties. If you believe content on HAVA.AI infringes your rights, email havarealtyai@gmail.com with the work concerned, the URL and proof of ownership; we will review and remove infringing content. Repeat infringers will have their accounts suspended or terminated.

Content moderation. We may, at our discretion and without notice, remove or restrict content, refuse or filter AI outputs, rate-limit usage, and suspend or terminate accounts that breach this section.

Accuracy disclosure. AI outputs may be incomplete, out-of-date or incorrect, including property valuations, market estimates, legal/tax/financial information and translations. HAVA AI is a productivity tool, not a substitute for qualified professional advice (legal, tax, financial, valuation, surveying or regulated real-estate advice). Do not rely on outputs for material decisions without independent verification by a qualified professional.

10. Warranties and liability

To the fullest extent permitted by law, the platform is provided "as is" and we disclaim all implied warranties of merchantability and fitness for a particular purpose. Our aggregate liability for any claim shall not exceed the fees you paid in the 12 months preceding the claim. We exclude liability for indirect, consequential or special damages including loss of profits, data or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury where the law forbids such limitation.

11. Indemnity

You agree to indemnify HAVA REALTY for claims arising from your content, unlawful use of the platform or breach of these Terms.

12. Governing law

These Terms are governed by the laws of the Republic of Kenya. The courts of Nairobi have exclusive jurisdiction over any dispute, without prejudice to mandatory consumer protection rights in your country of residence.

13. Changes

We may update these Terms; we will post the new version with a revised "Last updated" date and, for material changes, notify you by email or in-app.
